Sukrti supports the representation of clients across a broad range of business transactions and regulatory matters, providing foundational assistance in all stages of the corporate life cycle with a strong concentration in healthcare and healthcare-adjacent industries. She regularly advises physicians, medispas, multi-state provider groups, and private equity investors on compliant corporate structuring and operational strategy.

In her corporate practice, Sukrti assists with the formation and capitalization of business structures, including the preparation of documents for fundraising, financing, and negotiations with investors. She provides essential support for mergers and acquisitions (M&A), venture capital financings, public offerings, and private equity investments. She has developed particular experience structuring and implementing MSO–PC and Friendly PC models, ensuring compliance with Corporate Practice of Medicine (CPOM) doctrines, fee-splitting laws, and state ownership restrictions. Her work frequently involves advising on management services arrangements, equity structuring, rollover investments, and platform acquisitions involving physician-owned entities and private equity sponsors.

Sukrti’s role encompasses coordinating regulatory due diligence reviews and assisting with mandatory disclosures in securities filings, including for entities within the FDA-regulated space. She also assists clients with issues related to corporate governance and day-to-day business operations. In addition, she drafts and negotiates a wide range of commercial agreements, including employment agreements, independent contractor agreements, management services agreements, marketing and services agreements, vendor and supplier contracts, distributor agreements, and other key operational documents that support healthcare delivery and platform scalability.

She has developed specific experience in healthcare-related privacy issues and HIPAA compliance. Working closely with firm partners, she provides guidance on navigating federal and state regulatory frameworks, including the Anti-Kickback Statute, Stark Law, and other compliance mandates that impact healthcare providers and life sciences companies. She also advises clients operating in multiple jurisdictions on state-by-state regulatory requirements, frequently conducting 50-state surveys and compliance analyses related to corporate structure, licensure, supervision, telehealth, reimbursement, and scope of practice considerations. Her work helps growth-stage and private equity-backed healthcare companies scale across state lines while mitigating regulatory risk.
